HYVIRAL Partner Program Terms

These terms govern the Viral Elite Squad, the HYVIRAL partner (affiliate) program (the "Program"). The Program is operated by ROHDEN DESENVOLVIMENTO E DISTRIBUICAO DE SOFTWARE LTDA (CNPJ 54.588.639/0001-69), Santa Catarina, Brazil ("HYVIRAL", "we", "us", "our"). By applying to the Program, you ("you", "partner") accept these terms.

If you also use HYVIRAL yourself, our Terms and Conditions and Privacy Policy apply to that use as usual. On anything to do with the Program, these terms come first.

1. How the Program runs

We use Tolt, a third-party service, to run the partner portal, track referrals, calculate commissions and send payouts. Tolt may ask you to accept its own terms, and it or a payment provider may ask you to complete the checks the law requires before you are paid.

2. Joining

Apply in the partner portal. We read every application and may decline one without giving a reason. To join, you must:

  • be at least 18 and able to enter a contract. If you apply for a company, you must be allowed to bind it, and "you" then means the company;
  • not be someone we are barred from paying under sanctions laws; and
  • give us true information and keep it up to date.

You may hold one partner account.

3. Your link, your code, and what counts as a referral

Your link. You get a personal link. A referral counts when someone clicks it, accepts cookies on that visit, starts a subscription within 30 days of the click (including one that begins with a free trial) and then pays for it. If one browser followed several partners' links, the first click recorded in the last 30 days gets the credit.

Your code. We also give you a personal discount code, which takes 30% off a new customer's first month. A customer who uses it at checkout counts as your referral even without a click. Only one code works per checkout, and a code may not be usable alongside another offer.

More than one partner. If more than one partner could be credited, for example when a customer clicked one partner's link and used another's code, Tolt's record decides.

New customers only. Someone who has already paid for a HYVIRAL subscription, on any account, does not count as a referral, even if a code was accepted.

What we cannot track. We can only track a link for visitors who accept our cookies. A visitor who declines cookies, or whose browser sends a privacy signal we treat as declining, cannot be credited through a link. Some browsers may also delete the cookie before the 30 days are up. We are not responsible for a referral that could not be tracked for these or other reasons outside our control.

4. Commission

You earn 25%, or another rate we agree with you in writing, of every subscription payment a customer you referred makes during their first 12 months, counted from their first subscription payment.

  • Commission is worked out on what the customer actually pays: after discounts, before payment processing fees, and excluding any tax shown separately on the invoice.
  • Credit packs and other one-time purchases earn nothing.
  • Changing plan does not restart the 12 months. A failed payment earns nothing unless it later succeeds.
  • When a customer's subscription ends, for any reason, commission on that customer stops. A later subscription by the same customer earns nothing.
  • We calculate commissions in US dollars. A payment made in another currency is converted at the rate Tolt applies.

Tolt's records decide what you earned, unless they are shown to be wrong or section 6 applies. We may correct a commission that was calculated wrongly, and we will tell you if we do.

5. Clearing and payment

Each commission clears 20 days after the payment it comes from. We pay cleared commissions monthly, in US dollars, by PayPal, Wise or bank transfer, once your cleared balance reaches $50. A smaller balance carries over to the next month. We may hold a payout until we have the payment and tax details it needs. Any fee your own bank or payment provider charges you to receive a payout is yours to bear.

Taxes. You are responsible for reporting and paying your own taxes on what you earn. If the law requires us to withhold or pay a tax on a payout, we may deduct it from that payout, and we will tell you how much we deducted.

6. Refunds and chargebacks

A payment that is refunded or charged back earns no commission on the amount returned. If you were already paid that commission, we may deduct it from anything we owe you later, even if the portal still shows it as paid. We will not ask you to repay it out of your own pocket unless you committed fraud or seriously broke section 7.

7. Promoting HYVIRAL

You must:

  • Say clearly that you earn a commission, in plain words and close to your link or code, for example "I earn a commission if you sign up through this link". In a video, say it in the video as well. Follow the advertising rules where you and your audience are, including the US Federal Trade Commission's Endorsement Guides.
  • Describe HYVIRAL honestly, and only say you have used it if you have.

You must not:

  • Refer yourself, your own accounts, or people you pay to sign up. An account you pay for or control counts as your own, even if it is for a client.
  • Make false or misleading claims about HYVIRAL, about results, or about what anyone can earn.
  • Buy paid search or social ads that bid on or target the HYVIRAL name, or anything confusingly similar, or register such a domain or social handle.
  • Send spam, or list your link or code on coupon, deal or cashback sites.
  • Offer people money or rewards for signing up, unless we agree in writing. The discount on the code we give you is fine.
  • Set your link without a real click, for example through hidden links, pop-ups or automatic redirects.
  • Pretend to be HYVIRAL or to speak for it.
  • Promote HYVIRAL to children, or alongside unlawful, hateful or sexually explicit content.

A referral that breaks these rules earns no commission.

We may look at how you promote HYVIRAL and ask you to change or remove something, and you agree to do so within 7 days. You are responsible for what you publish. To the extent the law allows, if someone brings a claim against us because of something you published in breach of these terms, you will cover our reasonable costs of that claim.

8. Our name and materials

While you are a partner you may use our name, our logo and the materials we give you, without changing them and only to promote HYVIRAL under these terms. This right ends when your participation ends. We may ask you to change or remove anything that uses them.

9. Personal data

Your data. To run the Program, pay you, prevent fraud and meet our tax and accounting duties, we and Tolt process your name, contact details, the channels you promote on, your payout and tax information, and your referral activity. We rely on these terms and on those legal duties to do so.

HYVIRAL is the controller of your partner profile and activity, and Tolt handles them on our behalf. Tolt is the controller when it pays you as a payment agent, carries out the checks the law requires for that, or screens partners across programs to prevent fraud, and its privacy policy applies to that. Tolt is based in the United States, so your data may be processed there and in other countries, under the safeguards the law recognises for international transfers.

We keep your data while you are a partner, and afterwards for as long as tax, accounting and legal-claim rules require. To access, correct or delete your data, or to use your other rights under the data protection law that applies to you, write to our privacy contact and data protection officer at support@hyviral.com. You may also complain to a data protection authority.

Your referrals' data. The portal shows you limited details about the customers you referred, such as a partly hidden email address and the amounts you earn. Use them only to follow your referrals, and do not try to identify or contact a customer because of them.

10. Ending your participation

You may leave at any time, and we may end your participation at any time, by notice in the portal or by email. New referrals stop counting from that date.

If you leave, you earn no commission on payments received after that date. If we end your participation for a reason other than those in the next paragraph, customers you already referred keep earning you commission until their 12 months are up. Either way, we pay what you earned as it clears, in the monthly payout. If what is left at the end is under $50, we will pay it when you ask.

If you seriously broke these terms, or we reasonably suspect fraud, we may suspend or end your participation straight away, and we will tell you why. We may hold your payouts for up to 60 days while we look into it. We do not pay commissions earned through the breach or the fraud, and no further commissions accrue. If it was fraud, we may also keep your other uncleared or unpaid commissions, up to the loss the fraud caused.

11. Changes

We may change these terms or the commission on 30 days' notice by email or in the portal. Changes apply to payments received after that date. If you do not accept a change, you may leave the Program before it takes effect. Staying after that date means you accept it.

We may close the Program on 30 days' notice. Commissions then stop on payments received after the closing date, and we pay what you earned before it as section 10 describes.

12. Our relationship

You are an independent contractor and you pay your own costs. Despite the word "partner", nothing here makes you our employee, agent or partner in the legal sense, and you may not bind us. The Program is not exclusive for either of us.

13. Liability

The Program is offered as it is. We do not promise any level of earnings, and the examples on our site, including the calculator on the Program page, are arithmetic at list prices, not predictions. We do not promise that tracking or the partner portal will work without interruption.

To the extent the law allows, we are not liable for indirect losses or lost profits, and our total liability under these terms is limited to the commissions paid or payable to you in the 12 months before the claim. These limits do not reduce commissions you have earned, and they do not apply to wilful misconduct or gross negligence, or to anything else the law does not allow us to limit.

14. Governing law and disputes

These terms are governed by the laws of Brazil (State of Santa Catarina). If a dispute comes up, write to support@hyviral.com first and we will try to resolve it with you. If we cannot resolve it within 30 days, it goes to the courts of Santa Catarina, Brazil. This does not take away any right under the law of your own country that cannot be waived by contract.

15. General

  • Entire agreement. These terms, with any rate we agree with you in writing, are the whole agreement between us about the Program.
  • Severability. If part of these terms is found invalid, it will be limited or removed only as far as necessary, and the rest stays in force.
  • Waiver. Not enforcing a term is not a waiver of it.
  • Transfer. You may not transfer your partner account or these terms without our written consent. We may transfer them in a merger, acquisition, restructuring or sale of assets, with notice to you.
  • Events outside our control. Neither of us is liable for a delay or failure caused by circumstances beyond reasonable control, including failures of third-party services. This does not cancel commissions you have earned.
  • Language. These terms are written in English. A translation is a courtesy, and the English version prevails.
